Terms of Service

These Terms govern your access to and use of Voss Checkout. By creating an account, connecting a store, or using the service, you agree to these Terms.

1. The service

Voss Checkout provides software that can connect a Shopify store to a branded external checkout and to a merchant-owned Whop account. Depending on your configuration, Voss may help read store/cart information, calculate or verify checkout totals, display checkout, initiate payment through Whop, write paid orders back to Shopify, provide tracking integrations, and provide merchant dashboards and related tools.

Voss is not your bank, card network, acquiring bank, Shopify account provider, or Whop account provider. Shopify and Whop are independent third parties.

2. Eligibility and authority

You must be at least 18 years old and have authority to bind the business or person using Voss. You are responsible for ensuring that your business, products, customers, countries, marketing and transactions are eligible under applicable law and under the rules of Shopify, Whop and any other service you connect.

3. Your account and connected services

You are responsible for your login credentials, the accuracy of information you provide, and activity under your account. You authorize Voss to access and use the Shopify and Whop data and permissions you connect only as needed to provide the service.

You must keep connected credentials secure and promptly disconnect or rotate them if you believe they have been exposed.

4. Merchant responsibilities

You are responsible for your store and customer relationship, including your products and claims, pricing, taxes, shipping, fulfillment, customer service, refunds, returns, chargebacks, consumer-law obligations, privacy notices, marketing, and compliance with platform and payment-provider rules.

You must not use Voss to conceal the true nature of a business, evade a platform review, misrepresent your identity or location, or process transactions that you are not permitted to process.

5. Shopify and Whop

Voss depends on third-party services. Shopify may change APIs, checkout rules, app permissions, transaction fees, store eligibility or account access. Whop may change payment methods, processing fees, reserves, reviews, disputes, settlement, payouts or account eligibility.

Voss does not guarantee approval, uninterrupted processing, payout timing, availability of any payment method, or freedom from account reviews, reserves, holds or restrictions.

6. Fees and billing

Unless another written agreement applies, Voss charges a software fee of 0.5% for each order successfully processed through Voss Checkout. There is currently no Voss setup fee and no Voss monthly software fee. Whop processing fees and any Shopify fees are separate.

7. Acceptable use

You must follow the Acceptable Use Policy. We may suspend or restrict access if we reasonably believe your use creates security, fraud, legal, platform, payment, or reputational risk, or if required by a connected provider or law.

8. Data and privacy

Our Privacy Policy explains how Voss handles personal data. Where Voss processes shopper personal data on your behalf, the Data Processing Addendum applies.

9. Service changes and availability

We may add, change, limit or discontinue features. We aim to keep the service reliable, but no online service is uninterrupted. Planned maintenance, third-party incidents, provider changes, internet failures and emergency security work can affect availability.

10. Intellectual property

Voss and its software, branding, interfaces, documentation and related materials are owned by Voss or its licensors. You retain ownership of your store content, business information and customer data. You grant Voss the limited rights needed to process that material to provide, secure and support the service.

11. Confidentiality

Each party should protect non-public business, technical and security information received from the other and use it only for the relationship, except where disclosure is required by law or reasonably necessary to professional advisers and service providers under confidentiality duties.

12. Disclaimers

To the extent permitted by law, Voss is provided on an “as is” and “as available” basis. We do not guarantee that Voss will increase conversion, prevent payment-account action, eliminate fraud or chargebacks, or be suitable for every business, country, product or Shopify configuration.

13. Limitation of liability

To the maximum extent permitted by applicable law, Voss will not be liable for indirect, incidental, special, consequential, exemplary or lost-profit damages, or for losses caused by Shopify, Whop, card networks, banks, customers, fraud, disputes, reserves, holds or other third parties. To the extent a liability cap is legally permitted, Voss's aggregate liability arising from the service will not exceed the Voss software fees you paid during the three months before the event giving rise to the claim.

14. Indemnity

To the extent permitted by law, you will defend and indemnify Voss against third-party claims arising from your products, store, marketing, fulfillment, taxes, customer relationship, unlawful conduct, breach of these Terms, or violation of a third party's rights.

15. Suspension and termination

You may stop using Voss at any time. We may suspend or terminate access for non-payment, security risk, prohibited use, material breach, legal requirements, or when continued service is not reasonably possible because of a third-party platform decision. Amounts already due remain payable after termination.

16. Changes to these Terms

We may update these Terms as the product or law changes. Material changes will be communicated through the service or another reasonable channel. Continued use after an updated version becomes effective means you accept the revised Terms where permitted by law.

17. General

If a provision is unenforceable, the remaining provisions stay in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent except in connection with a bona fide sale or reorganization of your business where permitted by law. These Terms and incorporated policies are the agreement between you and Voss regarding the service unless a separate signed agreement says otherwise.
